Terms and conditions

1. Definition of terms

1.1. General Terms and Conditions: these general terms and conditions of The Roots.
1.2. The Roots (Chamber of Commerce no. 64864472) can be reached via: 8071 CN Nunspeet, Stationslaan 38 in Nunspeet or admin@theroots.nl.
1.3. Coaching: coaching during training or personal coaching processes.
1.4. Participant: the person who participates in a training of The Roots.
1.5. In-company trajectory: a customized training that The Roots organizes exclusively for one or more Clients.
1.6. Client: the party (private person or organization) that (wants to) conclude an agreement with The Roots.
1.7. Training: a training in which one can participate by means of open registration.
1.8. Training: training, In-company trajectory or coaching, or any other form of training from The Roots. A training can consist of several training modules (in the case of training courses or an intercompany trajectory) or several coaching conversations (in the case of coaching).
1.9. Quotation: every offer from The Roots to conclude an Agreement, whether or not at the request of a Client.
1.10. Agreement: any agreement between The Roots and a Client.
1.11. Distance contract: an agreement as referred to in Article 6:230g sub e of the Dutch Civil Code, whereby up to and including the conclusion of the agreement only use is made of one or more means of distance communication.
1.12. Parties: The Roots and Client together.
1.13. In writing: by letter or by e-mail.

2. Applicability

2.1. The General Terms and Conditions apply to every Quotation and Agreement.
2.2. The General Terms and Conditions can only be legally deviated from in writing.
2.3. Amended General Terms and Conditions are deemed to (also) apply to the (issued) Quotation and the (concluded) Agreement if the Client has not protested in writing to The Roots within 30 calendar days after the amended General Terms and Conditions have been sent.

3. Establishment of the Agreement

3.1. The Quotations are without obligation and valid for 30 calendar days.
3.2. Without prejudice to the provisions of paragraph 5, the Agreement is concluded by written consent of The Roots, registration with or assignment to The Roots and acceptance of this registration or assignment by The Roots.
3.4. Any agreements, promises and/or changes that deviate from the Quotation after the conclusion of the Agreement are only binding on The Roots if they have been confirmed in writing by The Roots.
3.5. A (telephone) objective-setting conversation in which the learning objectives of a course are aligned with the learning wishes of the participant can be part of the training. This conversation is then the starting point of the training and is a condition for participation in the relevant training.

4. Execution of the Agreement

4.1. Agreements concluded with The Roots lead to a best efforts obligation for The Roots, not a result obligation.
4.2. Terms stated by the Client or terms agreed between The Roots and the Client are only target dates and are therefore not binding on The Roots.
4.3. The Roots is entitled to have (parts of) the Agreement (partly) performed by third parties. If The Roots engages third parties for the execution of an agreement concluded with The Roots, The Roots is obliged to select these third parties carefully.

5. Confidentiality

5.1. The Roots, its employees and/or third parties engaged by The Roots will treat the information provided by the Client confidentially.

6. Prices

6.1. All prices stated by The Roots are in euros, exclusive of VAT. Package and accommodation costs are not included in the prices, unless expressly stated otherwise. The most current prices can be found on the website www.The Roots.nl
6.2. The Roots can pass on to the Client any cost-increasing factors (including, but not limited to purchase prices, wages and taxes) that occur after the Agreement has been concluded.
6.3. If the Client is a private individual, and the cost-increasing factors referred to in paragraph 2 lead to a change in the price within three months after the closing
